Terms of Service
The terms for using Venturs.

1. Agreement and operator
These Terms govern access to Venturs, operated by Verified, Inc.. By using the service, you agree to these Terms and the Privacy Policy. If you use Venturs for a company, you represent that you have authority to bind that company.
2. Eligibility and accounts
Venturs is for business users and people who assist businesses with fundraising preparation. Keep credentials confidential, provide accurate information, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account.
3. Workspaces and roles
You may maintain multiple company workspaces and may invite or authorize advisors, consultants, accelerators, programs, firms, or venture teams where the product supports it. You are responsible for choosing members, roles, recipients, and access permissions.
4. Customer Content
You retain ownership of Customer Content. You grant us a limited, non-exclusive license to host, copy, transmit, format, display, secure, back up, and otherwise process it only as needed to provide, protect, and support Venturs. You represent that you have rights and permissions needed for the content you submit.
5. Confidentiality and sharing
We treat Customer Content as business information and use it according to the Privacy Policy and these Terms. You control intentional exports and share links. A share link may be available to anyone with the link; do not share it with people who should not see the workspace.
6. AI-assisted features and advice
Any future or current assisted feature is a convenience tool, not a substitute for legal, tax, accounting, financial, investment, fundraising, or professional advice. Review outputs before relying on them. Venturs does not guarantee that content or recommendations are complete, accurate, or suitable for a particular investor or transaction.
7. Acceptable use
Do not misuse the service, probe or bypass access controls, upload malware or unlawful content, infringe rights, impersonate another person, attempt to access another workspace, interfere with service operation, or use the service to violate law. Additional rules appear in the Acceptable Use Policy.
8. Third-party services
Venturs relies on infrastructure and storage providers described in Subprocessors. Third-party services may have their own terms and availability. We do not control third-party failures and do not currently offer payment, subscription, or checkout functionality through these Terms.
9. Intellectual property and feedback
Venturs and its software, design, marks, and documentation belong to Verified, Inc. or its licensors. Except for rights expressly granted, no license is granted. If you provide feedback, you allow us to use it without restriction or payment, provided we do not disclose Customer Content as feedback.
10. Security, suspension, and termination
We maintain technical safeguards described on the Security page. We may suspend or terminate access to address security, abuse, legal, or operational risk. You may stop using the service and request deletion. Some information may remain in backups or records for legitimate legal and security reasons.
11. Disclaimers
Venturs is provided on an “as available” basis. To the fullest extent permitted by law, we disclaim warranties of uninterrupted availability, fitness for a particular purpose, merchantability, non-infringement, and accuracy. Venturs does not promise fundraising, investment, financing, or business outcomes.
12. Liability and indemnity
To the fullest extent permitted by law, Verified, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Our aggregate liability for claims relating to the service will not exceed the greater of amounts paid to us for the service during the prior twelve months or one hundred dollars. You agree to defend and indemnify us from claims arising from your unlawful use, Customer Content, or breach of these Terms, subject to applicable law.
13. Governing law and venue
California law governs these Terms without regard to conflict-of-law rules. Courts located in Los Angeles County, California have exclusive jurisdiction, and you consent to that venue. We have not included mandatory arbitration or a class-action waiver.
14. Changes and general terms
We may update these Terms by posting a revised version and changing the effective date. If a provision is unenforceable, the remainder remains effective. These Terms, the Privacy Policy, and incorporated policies form the agreement between you and Verified, Inc.. Contact legal at legal-group@venturs.com.
